DR. M. YAQUB MIRZA

Dr. M. Yaqub Mirza has been President and CEO of Sterling Management Group, Inc. (“SMG”) since 1998, of Sterling Advisory Services, Inc. since its inception, and President and CEO of MarJac Investments, Inc. (“Mar-Jac”) since 1995. From 1987-1995, he served as Executive Vice President of MarJac. MarJac makes proprietary investments in U.S. and foreign securities and provides international business management services. MarJac and its affiliates operated in the United States, Canada, Chile, Egypt, Malaysia, Turkey and Zimbabwe.

Dr. Mirza also served as Vice President (1984-1994) and President (1995-2000, the year it was dissolved) of the Saar Foundation, a Virginia not-for-profit corporation. Since 1984, Dr. Mirza has been actively negotiating mergers, acquisitions and sales of various sized companies and real estate projects located in different parts of the world. After many of the acquisitions, Dr. Mirza is involved as director and officer in the development of the acquired company or real estate project by evaluating top management to maximize efficiency and profitability and then restructuring, streamlining or expanding the same. In addition, Dr. Mirza has more than 20 years of experience in stock investments and portfolio management involving assets ranging from $1-$10 million.

Dr. Mirza has served as a Trustee and Treasurer and later as Chairman (1987-February 2003), and is now an Advisor to the Board of Trustees of the Amana Mutual Funds, which are registered with the Securities & Exchange Commission as an open-end investment company and managed by Saturna Capital Corporation. In addition, Dr. Mirza currently serves as Chairman of the Board of Directors of Jugos Concentrados, S.A. (“Jucosa”), a Chilean producer of juice concentrates, traded on the Santiago Stock Exchange. He also serves on the Board of numerous other companies. He served on the Board of Mylex Corporation, a NASDAQ listed, world leader of RAID technology and network management products from December 1988 until September 1999 when Mylex was acquired by IBM for $240 million.

Dr. Mirza holds a M.Sc. from University of Karachi (1969), a Ph.D. in Physics (1974) and M.A. in Teaching Science (1975) from University of Texas at Dallas.

M. OMAR ASHRAF

M. Omar Ashraf has been Executive Vice President of Sterling Management Group, Inc. ("SMG") since 1998, Vice-President of Sterling Advisory Services, Inc. since its inception, Vice President of Mar-Jac Investments, Inc. (“MarJac”) since 1990 and Executive Vice President of Mar-Jac Poultry, Inc. since 1996. He has been involved in the management as project manager of Mar-Jac Poultry, an integrated poultry company located in Gainesville, Georgia, since 1986. Mr. Ashraf is also currently involved in the management of Jucosa, a Chilean juice producer traded on Santiago Stock Exchange, and serves as a member of its Board of Directors. He was also a managing director of Anchor Yeast (Pvt.) Ltd., a yeast producer in Zimbabwe from 1999 to 2001. From 1978 to 1985, Mr. Ashraf worked at Gulfco Industries as Vice President of Manufacturing and Production Engineering Manager. In addition, Mr. Ashraf has more than 15 years of experience in stock investments, involving assets ranging from $1-$10 million at MarJac. He holds an M.B.A. from University of Central Oklahoma (1981) and a M.S. in Industrial Engineering from North Dakota State University (1976).

MUHAMMAD ASHRAF, ESQ.

Muhammad Ashraf, Vice President-Legal & Corporate Affairs of Sterling Management Group, Inc., also oversees general legal and corporate matters of MarJac Investments, Inc. Mr. Ashraf counsels on various aspects of nonprofit and for profit organizations in connection with acquisition, asset protection, financing and syndication of real estate and other projects. He has substantial experience in formation and development of stock and non-stock corporations, trusts, partnerships and limited liability companies and tax-related matters involving preparation and obtention of tax-exempt status. He negotiates fees and settlements with attorneys and also coordinates with outside attorneys located in various countries in contract negotiations regarding purchase, acquisitions, sales and disposition of assets and in strategizing litigations, if any. Mr. Ashraf also has extensive experience in the management of various commercial real estate buildings. He negotiates lease agreements, interacts with tenants and prepares budgets and management reports. Mr. Ashraf was awarded his LL.M. in Corporation Law in 1978 and M.C.L. in International & Comparative Law in 1976 by the George Washington University Law School.

NABIL A.M. ZEKI

Nabil A. M. Zeki has been involved in the development and management of real estate projects in Sterling Management Group Inc. (SMG) since joining the firm in 2001. Mr. Zeki possesses a strong professional background and comprehensive experience in engineering, project management and business administration. His technical and managerial experience spans across the project development cycle including feasibility, planning, design, construction, marketing, operations and divestment. Prior to joining SMG, Mr. Zeki was based in Quebec, Canada where he was managing a multi-million dollar real estate portfolio of residential and commercial projects with responsibilities that included marketing, public and client relations, leasing and sales, contract negotiations and administration, cost control initiatives, personnel and general property management. In addition, Mr. Zeki has provided consulting services to various organizations in matters relating to acquisition of properties, development of new projects and evaluation of operational/managerial efficiencies of on-going projects. Mr. Zeki holds an M.S. in construction Engineering and project Management with emphasis in Business Administration from the University of Michigan and a B.S. in Civil Engineering from Ohio University.

WASEEM ZAFAR

Waseem Zafar is the Audit and Taxation Manager of Sterling Management Group, Inc. Mr. Zafar passed his CPA exam from North Carolina in May 1996. He has fifteen years of experience in cost, financial, and tax accounting with different organizations. He was controller with Stratford University, an assistant controller with Piedmont Poultry Company and senior accountant with HealthScribe, Inc. (Medical Transcription business). He has extensive experience in the full accounting cycle utilizing generally accepted accounting procedures, computer proficiency in Timberline (software for construction project accounting), MAS90, Peachtree, QuickBooks, (accounting software) and Prosystem fx (tax accounting software). He has hands on experience in all aspects of accounting for preparation of consolidated financial statements, budgeting, year-end audit and preparation and filing of corporate and partnership tax returns. He has Bachelor of Science in accounting from the University of Central Oklahoma, Edmond (1989).
